Terms of Service

These Terms of Service ("Terms") govern your use of Packdown ("the Service"), operated by Packdown ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who We Are

Packdown is a web application with two core products: a band management tool that helps gigging musicians manage gig finances, fee splits, mileage, and band administration; and an Agency Workspace that helps booking agencies, agents, and bookers manage enquiries, band rosters, availability, holds, confirmed bookings, and booking terms across multiple bands. The Service is operated by Packdown, based in the United Kingdom.

2. Eligibility

You must be at least 18 years old to use the Service. By using Packdown, you confirm that you are 18 or over and have the legal capacity to enter into these Terms.

To use Packdown you must register for an account. You agree to:

We reserve the right to suspend or terminate accounts that we reasonably believe contain false information or have been used in breach of these Terms.

4. Free Trial

New bands receive a 30-day free trial with full access to the Service. No payment details are required during the trial period. At the end of the trial, the band will move to read-only mode unless a paid subscription is activated. Trial periods are available once per band and are not transferable.

Agency Workspace access during a pilot or trial period is subject to the terms agreed at the time of provisioning. Pilot and trial terms may differ from standard subscription terms and will be communicated separately.

5. Subscriptions and Payment

After the free trial, continued access to the Service requires a paid subscription.

Band subscriptions are per band — one subscription covers all members of the band regardless of band size.

Agency Workspace subscriptions cover the workspace and its managed band roster as a consolidated account. Agency subscriptions are billed per workspace, not per band. Pricing for Agency Workspace subscriptions is as agreed at the point of purchase.

All prices are inclusive of VAT where applicable. Payments are processed securely by Stripe. We do not store your payment card details.

Subscriptions renew automatically at the end of each billing period unless cancelled. You can cancel at any time via the Billing & Subscription section of the app. Cancellation takes effect at the end of the current billing period — you will retain access until that date.

We reserve the right to change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.

6. Refunds

We do not offer refunds for partial billing periods. If you cancel mid-period, you will retain access until the end of that period. Refunds may be offered at our discretion in exceptional circumstances — contact us at hello@packdown.co.uk to discuss.

8. Band Admins, Members, and Agency Workspace Staff

Within Packdown, each band has one or more admins. Admins are responsible for managing the band's subscription, inviting members, and controlling access. By accepting an invitation to join a band, you agree that admins of that band may view your gig records, earnings splits, and availability within the context of that band. You may leave a band at any time via Band Settings.

Agency Workspaces have their own staff members — owners, admins, managers, and viewers — who manage bookings, enquiries, and the managed band roster through the workspace. Agency workspace staff are not band members. They do not appear in band line-ups, gig payouts, or availability calculations.

If your band accepts an Agency Workspace relationship, agency staff may access your band's operational booking data through the workspace. This includes event dates, venues, your agreed band fee, and the agent brief included in your booking terms. It does not include private personal expenses, private gig notes, or any financial data outside the scope of the agency booking relationship.

By accepting a Band Admin invite from an agency, you consent to the agency managing your band's bookings through the workspace and accessing the operational data described above.

If the agency-band relationship ends, agency staff immediately lose access to your band. Your band retains its own Packdown account and all its data. Agency workspace records — including client details, internal notes, and commercial information — remain with the agency workspace.

9. Agency Workspace and Commercial Arrangements

The Agency Workspace provides tools that allow agencies to manage commercial arrangements with bands, including client fees, agreed band fees, and internal agency margin. Commercial fields in the workspace can be configured to be visible or hidden from band-facing views, in accordance with the agency's arrangement with each band.

Packdown is not a party to the commercial agreement between an agency and any band. It is the agency's responsibility to ensure their arrangements with each band — including any fees or margin not disclosed to the band — are clearly agreed and authorised. Packdown does not verify, warrant, or enforce these arrangements.

When an agency inputs third-party personal data into the workspace — such as client contact details or venue contact details — the agency is the data controller for that data and is responsible for having a lawful basis to collect and process it. Packdown processes that data on the agency's behalf as a data processor.

10. Your Data

We collect and process personal data in accordance with our Privacy Policy, which forms part of these Terms. By using the Service, you consent to our data practices as described in the Privacy Policy.

You retain ownership of the data you input into Packdown. For bands, this includes gig records, financial data, and notes. For Agency Workspaces, workspace records — including clients, venues, enquiries, and bookings — are owned by the workspace account. If a managed band detaches from a workspace, workspace records remain with the workspace and band data remains with the band.

We do not sell your data to third parties. If you delete your account or band, your data will be retained for up to 12 months and then permanently deleted, unless you request earlier deletion. If an Agency Workspace subscription ends, workspace records are retained for up to 12 months and then permanently deleted.

11. Google Calendar Integration

Packdown offers an optional one-time import feature that connects to your Google Calendar to read event titles and dates. By using this feature, you authorise Packdown to temporarily access your Google Calendar data for the purpose of importing events. We do not store your Google credentials or retain ongoing access to your Google Calendar after the import is complete.

12. Intellectual Property

All content, design, code, and branding within the Service is owned by or licensed to Packdown and is protected by copyright and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent.

You grant us a non-exclusive, royalty-free licence to store and process the data you input into the Service solely for the purpose of providing the Service to you.

13. Availability and Changes to the Service

We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may carry out maintenance, updates, or changes to the Service at any time. We will endeavour to give reasonable notice of any significant changes that affect your use.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. Where reasonably practicable, we will give 30 days' notice of discontinuation.

14. Limitation of Liability

To the fullest extent permitted by law:

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

15. Indemnity

You agree to indemnify and hold harmless Packdown, its employees, and agents from any claims, damages, or expenses (including legal fees) arising from your breach of these Terms or your misuse of the Service.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

17. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your account if you breach these Terms, with or without notice depending on the severity of the breach. Upon termination, your access to the Service will cease, subject to the data retention terms in Section 10.

18. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
